SHAREHOLDER ALERT: Investigation on Behalf of Rocket Fuel Inc. Announced by Law Offices of Howard G. Smith

Law Offices of Howard G. Smith announces that it is investigating potential claims on behalf of investors of Rocket Fuel Inc. (“Rocket Fuel” or the “Company”) (NASDAQ:FUEL) , concerning possible violations of federal securities laws. The investigation is focused on certain statements issued by the Company concerning Rocket Fuel’s financial performance. Rocket Fuel provides artificial-intelligence digital advertising solutions, which deliver highly-automated, digital advertising campaigns across geographies and mobile, social and video digital channels.

The investigation is related to allegations that the Company knew but failed to disclose material adverse facts, including that: (1) a large percentage of the ads that Rocket Fuel brokered were being viewed by automated fraudulent computer programs, rather than actual consumers, such that the Company’s operations and financial performance were in jeopardy; (2) the Company’s revenue growth was negatively affected by its inability to identify and eliminate “bot” traffic for its customers; (3) by February 2014, the Company knew that it would miss Wall Street consensus estimates for the quarter as a result of customer concern about inventory quality, among other things. In addition, the Company’s January 2014 secondary offering was designed to enable Company insiders to unload their shares at artificially inflated prices.

On August 5, 2014, Rocket Fuel announced expected 2014 revenue in the range of $403-$427 million, down sharply from its previous forecast. That same day, The Wall Street Journal reported that “Rocket Fuel Inc. lowered its full-year revenue guidance for the year, pointing to customer concerns about inventory quality. …” Following this news, on August 6, 2014, Rocket Fuel shares fell approximately 30%, from $24.75 to $17.05 per share.
