Under the terms of the agreement, public shareholders of Viasystems would receive 0.706 shares of TTM and $11.33 in cash for each share of Viasystems they own. Based on TTM’s closing stock price on September 19, 2014, Viasystems shareholders would have received consideration valued at approximately $16.46 per share.
The investigation concerns whether Viasystems’ board of directors failed to adequately shop the Company and obtain the best possible value for Viasystems’ shareholders before entering into an agreement with TTM.
