SFX Entertainment, Inc. Announces Closing of Second Lien Senior Secured Notes Offering

SFX Entertainment, Inc. (NASDAQ:SFXE) (“SFX”) announced today that it has closed its sales of $75 million aggregate principal amount of additional 9.625% second lien senior secured notes due 2019 (the “New Notes”) in connection with its previously announced private offering exempt from the registration requirements under the Securities Act of 1933, as amended (the “Securities Act”). These include a $10 million concurrent private placement to an entity controlled by Robert F.X. Sillerman, the Company’s Chief Executive Officer and Chairman of its Board of Directors. The New Notes are in addition to the $220 million aggregate principal amount of SFX’s 9.625% second lien senior secured notes due 2019 issued on February 4, 2014.

SFX used the net proceeds of the New Notes for working capital and general corporate purposes, including repaying all of its borrowings under its revolving credit facility and funding acquisitions, including two acquisitions which closed simultaneously with the closings of the New Notes, and paying related fees and expenses.

The New Notes are fully and unconditionally guaranteed, jointly and severally, by each of SFX’s existing and future wholly owned domestic restricted subsidiaries as well as by its non-wholly owned domestic subsidiary SFX-Nightlife Operating, LLC (collectively, the ”Guarantors”). The New Notes and the guarantees are secured by a second-priority lien on substantially all of SFX’s and the Guarantors’ assets, subject to certain exceptions and permitted liens.
