Shareholder rights law firm Johnson & Weaver, LLP has launched an investigation into whether the board members of LipoScience, Inc. (Nasdaq: LPDX) breached their fiduciary duties in connection with the proposed sale of the Company to Laboratory Corporation of America Holdings (LabCorp).

On September 25, 2014, LipoScience announced it had signed a definitive agreement with LabCorp. Under the terms of the agreement, LabCorp will acquire all outstanding shares of LipoScience for $5.25 per share in cash.

The investigation concerns whether LipoScience’s board failed to satisfy their duties to the Company’s shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for the Company’s shares of common stock. The $5.25 per share acquisition price is far less than where the stock has recently traded. In fact, on January 25, 2013, LipoScience stock opened for trading at $9.75 the day the Company sold 5.0 million shares of stock in its initial public stock offering.
