ATHLON ENERGY SHAREHOLDER ALERT: Proposed Sale of Athlon Energy Inc. under Investigation by Johnson & Weaver, LLP in Connection with the Proposed Sale of the Company to Encana Corporation

Shareholder rights law firm Johnson & Weaver, LLP has launched an investigation into whether the board members of Athlon Energy Inc. (NYSE:ATHL) breached their fiduciary duties in connection with the proposed sale of the Company to Encana Corporation.

Athlon Energy, an independent exploration and production Company, focuses on the acquisition, development, and exploitation of unconventional oil and liquids-rich natural gas reserves in the Permian Basin.

On September 29, 2014, Athlon Energy announced it had signed a definitive agreement with Encana. Under the terms of the agreement, Encana will acquire all outstanding shares of Athlon Energy for US$58.50 per share in cash.

The investigation concerns whether Athlon Energy’s board failed to satisfy their duties to the Company’s shareholders, including whether the board adequately pursued alternatives to the acquisition and whether the board obtained the best price possible for the Company’s shares of common stock. Among other things, Johnson & Weaver is concerned that the $58.50 per share agreed to by Athlon Energy’s board of directors does not adequately reflect the Company’s outstanding prospects, as earnings are expected to increase sharply in the coming years. Moreover, one Wall Street analyst has a $66.00 price target on the stock which is far more than the $58.50 offer price.
